General Terms of Service

Rivia Clinics is a group of full-service, multi-specialty, multi-location clinics providing membership-based healthcare services primarily to employees. While each Rivia Clinic is independently owned, they all operate as part of the same chain under common standards and protocols. The chain is managed and coordinated by Rivia Technologies Ltd, a company registered in Ghana.

Throughout these Terms: "Rivia Clinics", "we", "us", or "our" refers to Rivia Technologies Ltd and the Rivia Clinics chain; "You" or "user" refers to any person accessing or using our Services; "Services" means our website, mobile applications, platforms, and related services; "Platform" refers to our digital infrastructure; "Member" refers to individuals with active membership subscriptions.

2.1 Binding Agreement

By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy and any other policies referenced herein.

2.2 Age Requirements

You must be at least 18 years of age to use our Services independently. If you are under 18, you may only use our Services with the involvement and consent of a parent or legal guardian.

2.3 Authority to Agree

If you are accessing our Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms. References to "you" include both you individually and the organization.

2.4 Modifications

We reserve the right to modify these Terms at any time. Your continued use of our Services after changes are posted constitutes acceptance of the modified Terms.

3.1 Account Creation

To access certain features, you may need to create an account. You must provide accurate information, keep credentials secure, not share your account, and notify us of unauthorized access.

3.2–3.4 Account Responsibility, Types, Termination

You are responsible for all activities under your account. Different account types may be available (Member, Guest, Employer, Provider). We reserve the right to suspend or terminate your account for violation of these Terms, false information, fraudulent activity, or as required by law.

You may use our Services to access information, create and manage your account, schedule appointments (if a member), access virtual care (if a member), and communicate with providers. We grant you a limited, non-exclusive, revocable license for personal, non-commercial use. You may not use our Services for unlawful purposes, bypass security, use automated systems without permission, or interfere with our Services.

You agree to comply with all applicable laws, respect the rights of others, and use the Services only for their intended purposes. Prohibited activities include illegal or harmful activities, security violations, misuse of the platform, intellectual property violations, and healthcare-specific prohibitions (e.g. providing false medical information, impersonating providers). We reserve the right to investigate violations and take appropriate action.

Our Privacy Policy governs collection, use, and disclosure of personal information and is incorporated by reference. We collect account information, medical information (for members), usage data, and device information. We implement reasonable security measures. Depending on your location, you may have rights to access, correct, delete, or object to processing of your data. We use cookies and similar technologies as described in our Privacy Policy.

All content, features, and functionality of our Services are owned by Rivia Technologies Ltd or our licensors and are protected by copyright, trademark, and other intellectual property laws. "Rivia Clinics," "Rivia," and related marks are our trademarks. You may not copy, modify, or distribute our content without permission. We grant you a limited license for personal, non-commercial use. Content you submit remains yours but you grant us a license to use it in connection with our Services.

You may submit content including messages to providers, reviews, and profile information. Content must be accurate, lawful, and not infringe others' rights. By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, and display it for providing and improving our Services. You are solely responsible for your content. We may monitor and remove content that violates these Terms.

Our Services may contain links to third-party websites. We do not endorse or control third-party content. When you access third-party services, their terms apply. We may use third-party providers for payment processing, hosting, analytics, and medication delivery; their terms and conditions apply.

We strive for reliability but do not guarantee continuous access, error-free operation, or compatibility with all devices. We may perform scheduled maintenance and modify, suspend, or discontinue Services with or without notice. We are not liable for modifications or loss of content due to service changes.

Access to healthcare requires active membership and payment of applicable fees. Certain portions of our Services are free; paid Services include membership subscriptions and other specified services. Payment terms are as stated at purchase; fees are generally non-refundable. We may change fees with advance notice. You are responsible for applicable taxes.

You may terminate your account at any time. We may suspend or terminate access for violation of these Terms, fraudulent activity, or as required by law. Upon termination, your right to use Services ends; we may delete your account and data subject to legal obligations. Termination does not entitle you to refunds except as required by law or other applicable terms.

TO THE FULLEST EXTENT PERMITTED BY LAW: Our Services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind. We and our affiliates SHALL NOT BE LIABLE for indirect, incidental, consequential, or special damages. If we are found liable for direct damages, our total liability is limited to the greater of fees you paid in the 12 months preceding the claim or GHS 1,000. Exceptions apply for gross negligence, willful misconduct, or where liability cannot be excluded by law.

You agree to indemnify and hold harmless Rivia Clinics, Rivia Technologies Ltd, and our affiliates from claims arising from your use of Services, your content, violation of law or third-party rights, or fraudulent activities. We may assume exclusive defense of any matter subject to indemnification.

Before formal proceedings, contact us for informal resolution ([email protected] or +233 24 725 7966). If informal resolution fails, both parties agree to participate in mediation in Accra, Ghana before pursuing litigation or arbitration. Any claim must be brought within one (1) year of when it arose.

These Terms are governed by the laws of Ghana. Courts of Ghana have exclusive jurisdiction; you consent to jurisdiction and venue in Accra, Ghana. Both parties waive the right to a jury trial to the fullest extent permitted by law.

We reserve the right to modify these Terms at any time. When we make material changes, we will post the updated Terms and update the Last Updated date. By continuing to use our Services after changes are posted, you accept the modified Terms. If you do not agree, you must stop using our Services.

These Terms, together with our Privacy Policy and any applicable membership terms, constitute the entire agreement. If any provision is invalid, the remainder remains in effect. Our failure to enforce a provision does not constitute a waiver. You may not assign these Terms without our written consent; we may assign in connection with merger or sale. No third-party beneficiaries. Force majeure applies. Provisions on intellectual property, disclaimers, indemnification, and dispute resolution survive termination.
